The NVIDIA Hugging Face acquisition is set to extend the AI chipmaker deeper into the open-model ecosystem, bringing computing infrastructure and one of AI’s largest developer platforms closer under the same company.

NVIDIA has agreed to acquire Hugging Face in a deal valued at $12.93 billion, expanding its strategy beyond AI chips and infrastructure into a platform used to develop, share, and deploy open models. The companies entered a definitive agreement on September 2, with the transaction expected to close in the first half of 2027, subject to required regulatory approvals, according to NVIDIA’s SEC filing.

Hugging Face serves more than 18 million developers, researchers, and creators and more than 200,000 companies worldwide. Its platform hosts over 3 million models, 500,000 datasets, and 1 million applications, according to NVIDIA’s acquisition announcement.

What NVIDIA Gains From Hugging Face

The agreement gives NVIDIA deeper exposure to how developers and enterprises discover, test and deploy open-source AI models. Hugging Face has become a major platform for organizations looking to evaluate, customize, and deploy models without relying entirely on proprietary AI services.

NVIDIA has committed to keeping Hugging Face open after the acquisition closes. Developers will continue to be able to choose their models, frameworks, cloud providers, inference services and computing platforms, while the platform is expected to continue supporting competing silicon vendors.

Maintaining that neutrality will be closely watched. Michael Monaghan, partner at Founder ETFs, told Axios that keeping Hugging Face compute-agnostic rather than turning it into an NVIDIA-only marketplace would preserve its neutrality and help retain developers.

The deal is also expected to attract antitrust scrutiny because of NVIDIA’s position in AI infrastructure and Hugging Face’s role as a neutral platform for competing models and technology providers. A Gartner analyst told the Indian Express that “true neutrality may not be possible” once Hugging Face is owned by a major player in the market. The report said regulators in the U.S. and Europe are expected to examine the transaction.

The Security Context Behind the Deal

The acquisition also follows a July security incident involving autonomous AI agents that accessed parts of Hugging Face’s infrastructure during an OpenAI security evaluation. An earlier Hugging Face security incident highlighted the challenges of controlling increasingly autonomous AI systems.

Neither NVIDIA nor Hugging Face has said the incident influenced the acquisition. Its timing, however, adds context to NVIDIA’s broader interest in AI-powered cybersecurity.

Two days before announcing the Hugging Face deal, NVIDIA CEO Jensen Huang told CrowdStrike’s Fal.Con conference, “We’re at an inflection point in cybersecurity.” NVIDIA used the event to expand its work with CrowdStrike around AI agents and automated cyber defense, according to its Fal.Con announcement.

Why NVIDIA Is Expanding Beyond Chips

The broader strategic rationale extends beyond security. NVIDIA’s acquisition also gives it a closer connection to the developers choosing which AI models to use and where to run them. Reuters reported that this could become more important as companies including Meta, Microsoft, and OpenAI invest in their own chips and seek alternatives to dependence on NVIDIA hardware. 

NVIDIA already has a substantial presence across the Hugging Face ecosystem. If completed, the acquisition will extend NVIDIA across both AI infrastructure and model distribution, two areas that increasingly shape how enterprises build and deploy AI systems.

The unusually specific $12.9303 billion price also contains references to both companies. The number 129,303 corresponds to the Unicode code point for the 🤗 emoji associated with Hugging Face, while Hugging Face CEO Clément Delangue confirmed that #129303 also references NVIDIA’s green branding, according to Business Insider.
